Services Agreement

This Agreement ("Agreement") is entered into as of May 1, 2025 (the "Effective Date"), between Simply Scalable LLC, DBA as Profitibull, a Texas Limited Liability Company, with a principal place of business located at 750 N Saint Paul St STE 250 Pmb 441424 Dallas, TX 75201 (hereinafter "Contractor"), and the undersigned client (hereinafter "Client").

Whereas Client wishes to engage Contractor to provide the services described herein (the "Scope") and further described and defined on the attached statement of work ("SOW"), and in exchange for valuable consideration, the Parties hereby agree to the following terms:

Scope. As outlined in the Statement of Work, the Contractor agrees to set up and customize a lead management system for the Client.

Payment. In consideration of and for compensation of Contractor's performance of these Services, Client agrees to pay for CRM fees on a monthly basis starting from the Execution Date. Client agrees to pay for leads a la carte where applicable.

Term. Effective as of the date of Client's signature below, the term of this Agreement is 1 month. This Agreement will automatically renew for 1-month period unless terminated as outlined below.

Termination. This Agreement may be terminated by either party with a 14-day notice provided that the terminating party has booked and attended a call with a member of the other party's team. During this meeting, the terminating party must provide a specific metric related to the performance of the Statement of Work.

System Disconnect. Upon termination of this agreement by the Client, any CRM system that the Contractor created to fulfill this agreement will be deleted or returned to the Contractor. This does not include a CRM that was already owned and operated by the Client.

Disclaimer. The services furnished under this agreement are provided on an "as is" basis, without any additional warranties or representations express, implied, or statutory; including, without limitation, warranties of reliability, usefulness, quality, performance, non-infringement, merchantability, or fitness for a particular purpose. By signing this Agreement, Client acknowledges that Contractor does not own or govern the actions of any online platform.

Limitations of Liability. Notwithstanding any provision to the contrary, either party's total liability to the other party for all losses, damages, costs, and expenses shall not exceed the aggregate amount paid by Client to Contractor during the prior sixty (60) days of this Agreement, determined by the date of the loss in question.
